Welcome to the Globalports.com — website (the “Site”) of the Global Ports Investments Plc (“GPI”) and its subsidiaries and affiliated companies named together as GPI Group (“GPI Group”), which is run by GPI on behalf of GPI Group.

The Site provides you with:

the overall information on the services that GPI Group offers;
information for the GPI’s investors;
information and links to websites of the subsidiaries and affiliated companies of the GPI Group;
the latest GPI Group news and events;
relevant vacancies within GPI Group.

Access and use to the GPI Group companies’ websites are governed by these Terms of use and their respective Terms and conditions which shall prevail over the terms and conditions set out below to the extent of any inconsistency.

Access and Use of the Site

These Terms of Use (“Terms of Use”) contains the terms, covenants, conditions, and provisions upon which you may access and use this Site and the information and materials found on this Site. These Terms of Use also incorporates the Privacy Policy and Cookies Policy, provisions of which are applicable to the use of personal data.
By accessing, viewing, or using this Site, you, the User, indicate that you understand and intend these Terms of Use to be the legal equivalent of a signed, written contract and equally binding and that you agree to such Terms of Use. If you are not willing to abide by the Terms of Use in full, please refrain from using the Site immediately.
You may use the Site for the purposes reasonably anticipated on this Site or as otherwise might reasonably be anticipated in the course of your relationship with GPI Group and in accordance with any procedures from time to time in force on this Site.
You may not frame, link or deep-link this Site to any other website without prior written permission from GPI. You agree to abide by all applicable copyright, trademark and other intellectual property laws and with all additional copyright and trademark notices, information and restrictions contained in any portion of the Site. GPI’s status (and that of any identified contributors) as the author of material on the Site must always be acknowledged. Other than as expressly set out in this paragraph you may not, directly or indirectly:
- copy, reproduce, modify, alter or tamper with, in any way, the Site or any portion thereof, or the paper or digital copies of any materials you have printed off or downloaded in any way (in particular, you may not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text);

As a further condition of use of this Site, all Users warrant to GPI that they will not use this Site for any purpose that is unlawful or otherwise prohibited by these Terms of Use. Any rights not expressly granted herein are reserved.

Accessing and use of the Client Portal

The Site incorporates the GPI Group Client Portal (“Client Portal”) which provides with access to all services that GPI Group provides. It allows you to order and track any of such services, as well as to sign documents with a digital certificate.
Access and use of the Client Portal, including creating your account, is governed by the licensing agreement between you and GPI Group company — Russian Logistic Information Systems Limited Liability Company, LLC and located on the separate platform.

Ownership of intellectual property rights

The Site and the materials published in it (together, the “Protected Materials”), including but not limited to text, photographs and other images and sound, data, designs, software, object and source codes, APIs, graphics, trademarks and domain names, are protected by copyright (including as a compilation or a database), trademark, database and other intellectual property laws. Unless otherwise stated, all rights in the Protected Materials are owned by GPI Group or its licensees. Other than as set out in the paragraph above on “Access and Use of the Site”, the Protected Materials may not be used in any way without the prior written authorisation of GPI Group. Any rights not expressly granted in these Terms of Use are reserved. If you breach any of the terms in these Terms of Use, your permission to use the Site automatically terminates and you must immediately stop any unauthorised use of the Protected Materials.
The trademark GlobalPorts® and all other names, logos, icons and domain names identifying companies of GPI Group are proprietary marks of GPI Group unless otherwise specified. Other product and company names mentioned herein may be the trademarks of their respective owners.

Hyperlinked Websites

GPI Group is not responsible for the content of any website other than the Site, including any website through which you may have gained access to the Site or to which you may gain access from the Site. It accepts no liability in connection with any such sites or links.
Where hyperlinks to a third party’s website are provided, this is done in good faith and in the belief that such a website contains or may contain material which is relevant to the material on the Site. If you use such hyperlink, you leave the Site. Such a hyperlink does not signify that GPI Group has reviewed or approved the third party’s website or its contents or endorses, sponsors, or is affiliated with such a website, its owners, or its providers. GPI Group is not responsible for, and does not control, the third party’s website, its contents or availability. User materials and conduct

Other than personally identifiable information, which is covered under our Privacy Policy and information submitted by the users of the Client Portal, any material you transmit or post to the Site shall be considered non-proprietary and non-confidential. GPI Group shall have no obligations with respect to such material. GPI Group can use User material for all reasonable commercial and non-commercial purposes, including without limitation to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein and provide to third parties with permission to use and sublicense the User materials anywhere in the world.
Should any part of the Site offer you the opportunity to join in or read from a forum, please be aware that any communications posted on any such forum represent the views of the individual who posted such communication and are not to be taken as the views of GPI Group. GPI Group accepts no responsibility or liability for anything posted on any such forum by any user of the forum.
You are prohibited from posting, uploading or transmitting to the Site any material:
- that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience;

- You will not circumvent or attempt to circumvent any security or access control technology implemented on the website, or the servers and network associated with the Site.
- You will not use the Site in any manner designed to degrade the performance or functioning of the Site, including, without limitation, launching Denial-of-Service (DoS) attacks against the Site.
GPI Group shall fully co-operate with any law enforcement authorities or court order requesting or directing GPI Group to disclose the identity or locate anyone posting any material in breach of this paragraph “Visitor materials and conduct”.

Disclaimer of warranties

The Site is provided “As Is” and without warranties of any kind, whether express or implied, to the fullest extent permissible under applicable law. You, the User, assume the sole risk of making use of, and/or relying on, the information and materials available on this Site. Accordingly, GPI provides the Site on the basis that all representations, warranties, conditions and other terms which, but for this legal notice, might have effect in relation to the Site, are excluded. GPI does not represent or warrant that the functions or services contained in the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the server that makes the Site available are free of viruses or other harmful components. GPI does not make any representations or warranties regarding the use or contents of the Site or Services in terms of their correctness, accuracy, currency, completeness, adequacy, usefulness, reliability or otherwise. Severability

If any provision in these Terms of Use is held invalid, the remainder of these Terms of Use shall continue to be enforceable. If any provision in these Terms of Use is deemed unlawful, void or unenforceable, then that provision is deemed severable from these Terms of Use, and the remaining provisions are still valid and enforceable.

Governing Law and Jurisdiction

Your use of the Site and the operation of the Terms of Use shall be governed in accordance with the laws of England and Wales. English courts shall have exclusive jurisdiction over any dispute arising out of or in connection with your use of the Site. By accessing the Site, you expressly submit to the exclusive jurisdiction of the English courts. This paragraph shall operate solely for the benefit of GPI and accordingly GPI shall be entitled to take proceedings in any other court or courts having jurisdiction.

Miscellaneous

The viewing of the Site may not be lawful in certain jurisdictions. Any person who wishes to view the Site must first satisfy themselves that they are not subject to any laws or regulations which prohibit or restrict them from doing so. If you are not permitted to view the Site or are in any doubt as to whether you are permitted to view the Site, please refrain from using the Site and the Services immediately.
GPI reserves the right to change the Terms of Use under which this Site is extended to you. Your continued use of this Site following reasonable notice of such modifications will constitute your acceptance of such changes.
